Translate & Transfer Plugin
1. ACCEPTANCE OF TERMS
By installing, activating, and using the Translate & Transfer plugin (“Service,” “Plugin,” “we,” “us,” or “our”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Service.
- Installation = Acceptance: Installing and activating the plugin constitutes full acceptance of these terms
- Legal Authority: You represent that you have the legal authority to agree to these terms
- WordPress Requirements: You agree to comply with WordPress.org plugin guidelines
- If you disagree, do not use this plugin. Uninstall it immediately.
2. LICENSE GRANT
We grant you a limited, non-exclusive, non-transferable license to use this plugin:
- Permitted Use: Use the plugin on WordPress sites you own or have authority to manage
- Scope: License is limited to the plan level you purchased (Free, Pro, or Agency)
- Number of Sites: You may activate on the number of sites permitted by your plan
- Restrictions: You may NOT:
- Redistribute, resell, or sublicense the plugin
- Reverse engineer, decompile, or attempt to derive source code
- Remove or alter copyright notices or license keys
- Use the plugin for illegal activities or to harm others
- Share your license key with other users
3. PLANS AND PRICING
3.1 Free Plan
- Cost: Free
- Features: 1 site, 5 translations/day or 1 translation/day with shared API
- Support: Community support only
- No refunds (it’s free)
3.2 Pro Plan
- Cost: $[INSERT PRICE]/month or $[INSERT PRICE]/year
- Features: Unlimited sites, unlimited translations/day, use your own API key
- Support: Email support
- Billing: Monthly or annual (as selected at checkout)
3.3 Agency Plan
- Cost: $[INSERT PRICE]/month or $[INSERT PRICE]/year
- Features: Unlimited sites, unlimited translations, shared API (2M tokens/month)
- Support: Priority email support
- Billing: Monthly or annual (as selected at checkout)
4. PAYMENT AND BILLING
4.1 Payment Processing
- Payments processed by Stripe via Paid Memberships Pro (PMPro)
- You authorize Stripe to charge your payment method
- We do not store credit card information
4.2 Billing Cycle
- Monthly plans renew on the same date each month
- Annual plans renew 12 months after purchase
- You will receive renewal notices before billing
4.3 Payment Failures
- If payment fails, PMPro will attempt to retry
- After repeated failures, your account may be suspended
- You are responsible for keeping payment information current
4.4 Taxes
- You are responsible for any applicable sales tax, VAT, or GST
- Tax is calculated and collected by Stripe

5.1 Pro Plan – Money-Back Guarantee
- 30-Day Refund: If unsatisfied with Pro plan within 30 days, you can request a refund
- Why: You use your own API key, so we have no API costs to recover
- How to Request: Email support@www.scandialab.com with your license key
- Refund Method: Credit card refund or account credit
- Conditions: Refund applies to first purchase only, not renewals
5.2 Agency Plan – No Refunds
- All Sales Final: Agency plan purchases are non-refundable
- Why: We pay for API tokens upfront on your behalf. Once tokens are used or allocated, they cannot be recovered
- Your Options:
- Start with Free or Pro plan to test
- Use monthly billing (not annual) to try first
- Downgrade to Pro or Free anytime (no refund issued)
5.3 Free Plan
- No Refund Needed: The Free plan is complimentary
- No refund available on Free plan
5.4 Refund Conditions (Pro Only)
Refunds for Pro plan are subject to:
- Request within 30 days of purchase
- First purchase only (renewals are non-refundable)
- If you request a refund, your Pro license is deactivated
5.5 Chargebacks
If you file a chargeback or dispute instead of requesting a refund:
- Your account will be permanently banned
- Your license key will be blacklisted
- You forfeit all access to the plugin
6. USER RESPONSIBILITIES
You agree to:
- Comply with Laws: Use the plugin only for legal purposes
- Respect Others: Do not use the plugin to:
- Harass, threaten, or abuse others
- Violate intellectual property rights
- Spread malware or engage in hacking
- Violate export laws or sanctions
- Secure Your Account:
- Protect your license key and API keys
- Use strong passwords for your WordPress sites
- Enable two-factor authentication
- Report unauthorized access immediately
- Content Responsibility:
- You are responsible for the content you translate
- You own the rights to the content you translate
- You comply with copyright laws
- You do not translate confidential or proprietary content
- API Key Management:
- If using your own API key (Pro plan), you are responsible for:
- API usage and associated costs
- Rate limiting and account suspension
- Protecting your API key from unauthorized use
- We are not liable for unauthorized API usage from your exposed keys
- If using your own API key (Pro plan), you are responsible for:
7. ACCEPTABLE USE POLICY
You may NOT use the plugin to:
- Illegal Activities: Violate any law or regulation
- Abuse: Overload our servers or third-party APIs with excessive requests
- Scraping: Translate content you don’t own for scraping or republishing
- Spam: Use translation for spam, phishing, or malicious content
- Circumvent: Bypass rate limits, usage limits, or license restrictions
- Reselling: Resell the plugin or license keys
- Automated Abuse: Use bots or scripts to bypass limits (unless authorized)
Violation Consequences:
- Immediate account suspension without refund
- License key blacklisting
- IP address blocking
- Legal action if applicable
8. INTELLECTUAL PROPERTY RIGHTS
8.1 Our Ownership
- We own all rights to the plugin code, design, and documentation

- You may not claim ownership of the plugin
8.2 Your Content
- You retain all rights to content you create and translate
- By using the plugin, you grant us a limited license to:
- Process your content through AI providers
- Store translation history for support purposes
- Use anonymized/aggregated data to improve the service
8.3 Third-Party Content
- AI-generated translations are your responsibility
- You are responsible for reviewing translated content
- We do not guarantee accuracy or copyright compliance of translations
8.4 Open Source
- This plugin does NOT use open-source code
9. THIRD-PARTY SERVICES
9.1 AI Providers (OpenAI/Anthropic)
- Your content is sent to OpenAI and/or Anthropic for translation
- Subject to their Terms of Service and Privacy Policies
- We are not responsible for their actions or policies
- You agree to their terms when using this plugin
9.2 Payment Processor (Stripe)
- Payments processed by Stripe
- Subject to Stripe’s Terms of Service
- We do not control payment processing
9.3 No Endorsement
- We do not endorse these services
- We are not responsible for their outages or policy changes
- Use at your own risk
10. LIMITATIONS OF LIABILITY
10.1 “AS-IS” DISCLAIMER The plugin is provided “AS-IS” without warranties:
- We make no guarantees about accuracy, reliability, or fitness for purpose
- We do not warrant that the plugin is error-free or uninterrupted
- AI translations may be inaccurate or incorrect
- We are not liable for translation quality
10.2 Limitation of Damages To the maximum extent permitted by law:
- Our total liability shall not exceed the amount you paid for the plugin in the past 12 months
- We are not liable for:
- Lost data, revenue, or profits
- Indirect, incidental, or consequential damages
- Third-party claims
- Data loss from failed transfers or API errors
- AI translation errors or inaccuracies
10.3 You Assume All Risk
- You use this plugin at your own risk
- You are responsible for:
- Backing up your WordPress database
- Testing translations before publishing
- Reviewing AI-generated content
- Compliance with laws regarding translated content
11. INDEMNIFICATION
You agree to indemnify and hold us harmless from:
- Claims arising from your use of the plugin
- Violation of these terms
- Infringement of third-party rights
- Translated content you publish
- Misuse of API keys
- Failure to comply with applicable laws
12. TERMINATION
12.1 Account Termination by You
- You can delete your account anytime through PMPro
- Your license key will be deactivated
- Your data will be deleted per our Privacy Policy
12.2 Account Termination by Us We may terminate your account if you:
- Violate these terms
- Engage in abuse or illegal activity
- Fail to pay for your subscription
- Violate the Acceptable Use Policy
- Pose a security risk
Termination Consequences:
- License key is deactivated
- All access is revoked
- No refunds are issued
- Your account cannot be recovered
13. SERVICE MODIFICATIONS
We may modify or discontinue the plugin:
- With Notice: We will provide 30 days notice for major changes
- Without Refund: Discontinuation does not entitle you to a refund
- Your Options: You can delete your account or downgrade your plan
14. DISCLAIMERS
14.1 No Warranty
- The plugin is provided without warranty of any kind
- We do not warrant:
- Accuracy of translations
- Compatibility with all WordPress versions
- Security against all threats
- Uptime or availability
14.2 Third-Party Risk
- Target site authentication is your responsibility
- We are not liable for:
- Unauthorized access to target sites
- Data loss on target sites
- Target site compromises
- Third-party service outages
14.3 API Risks
- OpenAI and Anthropic may:
- Change pricing without notice
- Suspend your API account
- Go offline unexpectedly
- We are not liable for these changes
15. SECURITY AND BETA FEATURES
15.1 Responsible Disclosure
- If you discover a security vulnerability, report it to support@www.scandialab.com
- Do not publicly disclose vulnerabilities
- Allow us 30 days to address the issue
- We may offer a reward for responsible disclosure
15.2 Beta Features
- Features marked “Beta” are experimental
- Beta features may change or be removed without notice
- Use beta features at your own risk
- We may collect usage data from beta features
16. DISPUTES AND ARBITRATION
16.1 Governing Law These terms are governed by the laws of Denmark, without regard to conflict of law principles.
16.2 Dispute Resolution Before pursuing legal action:
- Contact us at support@www.scandialab.com with your dispute
- We will attempt to resolve within 30 days
- If unresolved, the dispute may proceed to arbitration or court
16.3 Class Action Waiver
- You agree not to bring class action lawsuits
- All disputes must be brought individually
16.4 Limitation Period
- Any legal action must be brought within 1 year of the claim
- After 1 year, all claims are barred
17. GRACE PERIODS AND DOWNGRADES
17.1 Downgrade Grace Period
- When you downgrade from Pro/Agency to Free:
- Your old license remains valid for a grace period
- Grace period ends on your next billing cycle date
- After the grace period, only your new license works
17.2 What Happens During Grace Period
- You can use either your old or new license
- Both licenses are valid
- After grace period ends, old license is deactivated
17.3 No Refunds for Downgrade
- Downgrading does not entitle you to a refund
- You pay for the current billing cycle even if you downgrade mid-cycle

- We may update these terms at any time
- Material changes require 30 days advance notice via email
- Your continued use of the plugin after 30 days = acceptance
- If you don’t accept, delete your account within 30 days
19.2 What’s a Material Change
- New restrictions on usage
- Changes to pricing structure
- New fees or charges
- Reduction of features or support
- Changes to refund policy
20. ENTIRE AGREEMENT
These Terms of Service, along with our Privacy Policy, constitute the entire agreement between you and us regarding the plugin. All previous agreements are superseded.
